Terms & Conditions
1. OWNERSHIP & INTELLECTUAL PROPERTY: All creative work, including but not limited to designs, marketing strategies, and digital assets ("Work Product"), produced by Precysely Creative remains the exclusive property of Precysely Creative until the final invoice is paid in full. Upon receipt of full payment, the Client is granted an exclusive license to use the final deliverables for their intended purpose. Precysely Creative retains the right to display all work in its professional portfolio and marketing materials.
2. PAYMENT TERMS: All invoices issued by Precysely Creative are due Net 15 days from the date of issuance unless otherwise agreed in writing. Balances remaining unpaid after 30 days will incur a late fee of 1.5% per month (18% per annum) or the maximum rate permitted by law.
3. REVISIONS & SCOPE: Each project includes up to two (2) rounds of minor revisions. A "round" is defined as a single, consolidated list of feedback. Requests for additional revisions, or changes that significantly depart from the original project brief (a "Change in Scope"), will be billed at Precysely Creative’s standard hourly rate of $150/hr.
4. THIRD-PARTY COSTS: The Client is responsible for all third-party expenses (e.g., stock photography, font licenses, printing, or ad spend).
5. FINAL APPROVALS: Precysely Creative is not liable for errors (typographical, color, or otherwise) in Work Product that has received final Client approval. The Client is responsible for final proofreading before any materials are sent to print or published digitally.
6. PROJECT TERMINATION: Either party may terminate a project with written notice. In the event of termination, the Client agrees to pay Precysely Creative for all hours worked and expenses incurred up to the date of cancellation.
7. LIMITATION OF LIABILITY: Precysely Creative shall not be liable for any indirect or consequential damages, including loss of profits. Our total liability for any claim arising out of this agreement is limited to the amount paid for the specific services on this invoice.
8. GOVERNING LAW: These terms are governed by the laws of the State of Oregon.
